Terms of Service

1. Acceptance of Terms and Corporate Identity

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Juniper Labs LLC ("Company," "we," "us," or "our"), the operator of the Juniper platform and website located at juniperapp.ai (the "Service").

BY CREATING AN ACCOUNT, SUBSCRIBING TO, ACCESSING, OR USING THE SERVICE, YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY.

2. Eligibility and Authority

The Service is strictly intended for individuals who are eighteen (18) years of age or older. By using the Service, you represent and warrant that you are at least 18 years old and possess the legal capacity to enter into a binding contract.

If you are using the Service on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, "you" and "your" will refer to that entity.

3. Account Security and Access

You are responsible for maintaining the confidentiality of your login credentials. Sharing your account credentials with third parties, or allowing multiple individuals to access the Service through a single account (unless specifically authorized by an enterprise license), is strictly prohibited and constitutes a material breach of these Terms.

We reserve the right to terminate any account immediately and without refund if we detect concurrent logins or unauthorized credential sharing.

4. Subscription, Billing, and Cancellation

4.1 Auto-Renewal

SUBSCRIPTIONS AUTOMATICALLY RENEW. Unless you cancel your subscription before the end of the current billing period, your subscription will automatically renew for an additional period of the same duration and at the then-current price. You authorize us to charge your payment method for these renewal fees.

4.2 No Refunds

ALL PAYMENTS ARE NON-REFUNDABLE. We do not provide refunds or credits for any partial subscription periods or unused services. If you cancel your subscription, you will continue to have access to the Service through the end of your current billing cycle.

4.3 Price Changes

We reserve the right to modify subscription fees at any time. We will provide you with reasonable prior notice of any price increase. Price changes will take effect at the start of the next subscription period following the date of the price change. Continued use of the Service after the price change constitutes your agreement to pay the new amount.

5. Intellectual Property and Anti-Scraping

The Service, including its proprietary algorithms, derived data, composite scores (such as amenity scores including Dining & Nightlife, Grocery Access, Recreation, Healthcare, and Local Business scores, and any other proprietary metrics), risk indices, design, code, and interfaces, is the exclusive property of Juniper Labs LLC and its licensors.

PROHIBITION ON SCRAPING: You are strictly prohibited from using any robot, spider, scraper, script, browser extension, offline reader, or other automated means or interface not authorized by us to access the Service or to extract data or other content from the Service.

You agree not to reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of the Service. Any unauthorized use of the Service's data or content is a violation of these Terms and may violate copyright, trademark, and other laws.

6. Disclaimers and Risk Acknowledgments

6.1 Informational Purposes Only

The Service is provided for general informational and research purposes only. IT DOES NOT CONSTITUTE FINANCIAL, REAL ESTATE, LEGAL, OR INVESTMENT ADVICE. You should not rely solely on the Service for making financial decisions. Always consult with qualified professionals before making investment decisions.

6.2 Algorithmic Limitations

You acknowledge that the Service utilizes statistical models, algorithms, and data aggregation techniques that are inherently based on historical data. These methods cannot predict future market conditions, "Black Swan" events, macroeconomic shifts, or legislative changes. We do not guarantee the accuracy of any forecast, prediction, or score generated by the Service.

6.3 Third-Party Data

The Service aggregates data from third-party sources, including the U.S. Census Bureau, HUD, FEMA, and others. We do not control these sources and cannot guarantee their accuracy, completeness, or timeliness.WE DISCLAIM ALL LIABILITY FOR ERRORS OR OMISSIONS IN THIRD-PARTY DATA.

6.4 "AS IS" and "AS AVAILABLE"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Fair Housing Act Compliance

Juniper Labs LLC is committed to compliance with the Fair Housing Act and all applicable anti-discrimination laws. Our analytics, including composite scores, stability indices, and neighborhood metrics, are based on objective commercial and economic data points and are not proxies for race, color, religion, sex, handicap, familial status, or national origin.

USER INDEMNIFICATION FOR DISCRIMINATION: You expressly agree NOT to use the Service, its data, or its analytics to engage in any form of discrimination, racial steering, digital redlining, or any practice that violates the Fair Housing Act or the Equal Credit Opportunity Act. You agree to indemnify and hold Juniper Labs LLCharmless from any claims, fines, or liabilities arising from your use of the Service in a discriminatory or unlawful manner.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL JUNIPER LABS LLC, ITS AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

9. Acceptable Use

In addition to the prohibitions set forth elsewhere in these Terms, you agree not to:

• Resell, sublicense, or redistribute any data, scores, or analytics obtained from the Service;
• Use the Service or its data to build, train, or improve a competing product or service;
• Circumvent any access controls, rate limits, or authentication mechanisms;
• Use the Service in any manner that could damage, disable, overburden, or impair the Service;
• Misrepresent Juniper data, scores, or analytics as your own work product without attribution.

10. Termination and Modification

10.1 Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10.2 Modification of Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

10.3 Service Availability

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

11. Dispute Resolution and Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.

Mandatory Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be determined by binding arbitration in Seattle, Washington, before a single arbitrator. The arbitration shall be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Class Action Waiver: YOU AND JUNIPER LABS LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Governing Law: These Terms shall be governed by the laws of the State of Washington, without regard to its conflict of law provisions.
